10. Dispute Resolution

10.1 Governing Law

These Terms of Use and any dispute or claim arising out of or in connection with them, or their subject matter or formation, shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

10.2 Jurisdiction and Venue

You and Luminoragrandstay Inc. irrevocably agree that the courts of the Province of Ontario, Canada — specifically, the courts located in the Niagara Region — shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or the use of the Website. You hereby waive any objection to proceedings in such courts on the grounds of inconvenient forum or otherwise.

10.3 Informal Resolution

Before initiating any formal legal proceedings, you agree to first contact Luminoragrandstay Inc. in writing at the address below and attempt to resolve the dispute informally. We will use reasonable efforts to respond to your complaint within thirty (30) calendar days and to work toward an amicable resolution.

10.4 Arbitration

If the parties are unable to resolve a dispute informally within sixty (60) days of written notice, either party may elect to submit the dispute to binding arbitration under the Arbitration Act, 1991, S.O. 1991, c. 17 of Ontario. Arbitration proceedings shall be conducted in English, in the City of Niagara-on-the-Lake or in such other location as mutually agreed, and the arbitrator's decision shall be final and binding on both parties. Nothing in this clause shall prevent either party from seeking urgent injunctive or equitable relief from a court of competent jurisdiction.

11. Severability

If any provision of these Terms of Use is found by a court or arbitrator of competent jurisdiction to be invalid, unlawful, void, or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary and shall not affect the validity and enforceability of the remaining provisions, which shall continue in full force and effect.

12. Entire Agreement

These Terms of Use, together with our Privacy Policy and any other legal notices or policies published on the Website, constitute the entire agreement between you and Luminoragrandstay Inc. with respect to your use of the Website and supersede all prior or contemporaneous communications, representations, or agreements, whether written or oral, relating to the same subject matter.
